Ask Cherry to assess your situation, or to close the company

Two different sentences. One writes a document. The other starts a shutdown. Cherry does not dissolve anything until a person attests.

Assess the situation

In chat, type assess my situation or what are my options for closing the company.

Cherry writes a cited assessment: the facts on file, what the law says about them, the realistic paths, and one recommendation. Questions that cannot be settled stay open. The owner gets an email with a link. The PDF is not attached, so forwarding the mail does not share the document. You will have to sign in.

This does not change the books, does not put a deadline on the calendar, and does not file anything.

It is Cherry's read of the situation, grounded in the sources cited inside it. It is not legal advice, and it is not a substitute for a lawyer on anything you plan to sign or file.

Today this kind of assessment exists for winding down, against Cherry's Delaware and US federal library. Other questions are still ordinary chat.

Close the company

If you mean it — close my company, dissolve, shut down — Cherry emails you a short form. The sequence is built from those answers, not from the chat sentence:

  • whether you are actually winding down
  • whether shares were ever issued
  • whether the company ever did business
  • whether the incorporator consent is signed
  • the state of incorporation, if Cherry does not already have it
  • the resolution date and the effective date, when you have them

Nothing lands on the calendar until you answer.

After you attest

Cherry prepares the dissolution consents and the certificate, and chases signatures. That document set is for a Delaware C-corporation that never issued shares or never began business. If the company actually operated — assets, employees, creditors — Cherry stops rather than producing papers that look finished.

Cherry does not submit the certificate to Delaware, does not pay the fee, and does not click anything irreversible. You file it. The obligation settles when the filed copy comes back.

If there is no company on file yet, there is nothing to wind down.
